Define Digital Agency (definedigital.agency) is part of the Define Digital family (definedigital.in) and is operated by Define Solutions Private Limited, a company incorporated in India ("Define Solutions", "we", "us"). These Terms & Conditions ("Terms") govern your use of definedigital.agency and the digital marketing and lead-generation services we offer under the Define Digital Agency brand. By using this website or engaging us, you agree to these Terms.
1. Our services
We provide performance marketing services such as paid media management, SEO, conversion optimisation and tracking / attribution, as described on this website or in a written proposal. The exact scope, deliverables and fees for each client are set out in that proposal or agreement (an "Engagement"). If an Engagement conflicts with these Terms, the Engagement prevails.
2. Free strategy call
Our strategy call is free and carries no obligation. Any guidance we give on it is offered in good faith and is not a guarantee of results.
3. Your responsibilities
- Give us accurate information and timely access (for example to ad accounts, your website and your CRM);
- Make sure you have the rights to all brand assets and content you provide;
- Make sure your business, offers and ads comply with the law and with advertising-platform policies, including rules that apply to healthcare, real-estate and financial-services advertising; and
- Follow up on leads promptly. Marketing results depend heavily on how quickly and well enquiries are handled.
4. Fees, ad spend and taxes
Our fees are as stated in your Engagement. GST and other applicable taxes are charged extra. Invoices are payable by the due date shown on the invoice, and we may pause work while an invoice is overdue.
Advertising budgets (the money spent on Meta, Google and other platforms) are separate from our fees and, unless agreed otherwise in writing, are paid by you directly to those platforms.
5. No lock-in and cancellation
We do not believe in lock-in contracts. Unless your Engagement says otherwise, you may stop our services at any time by written notice (email is fine). Cancellation takes effect at the end of the billing period already started. See our Refund & Cancellation Policy for details.
6. No guarantee of results
Marketing outcomes depend on many factors outside our control. We do not guarantee any specific number of leads, sales or return on ad spend. Please read our Disclaimer.
7. Third-party platforms
Our work relies on platforms such as Meta, Google and WhatsApp. Their policies, algorithms, pricing and account decisions are outside our control. We are not responsible for outages, policy changes or account restrictions imposed by those platforms unless caused by our breach of these Terms.
8. Intellectual property
You keep ownership of your brand assets, ad accounts, pixels, audiences and customer data. We keep ownership of our pre-existing tools, templates, processes and know-how. Work created for you under an Engagement is licensed to you for use in your business once the fees for it are paid, unless the Engagement says otherwise. The Define Digital Agency name, logo and website content belong to Define Solutions Private Limited and may not be used without our written permission.
9. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the Engagement, except where disclosure is required by law.
10. Limitation of liability
To the extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for loss of profit, revenue or data. Our total liability for any claim relating to a service is limited to the fees you paid us for that service in the three (3) months before the claim arose.
11. Indemnity
You agree to indemnify us against claims, losses and costs arising from your content, products, services or offers, or from your breach of law or of advertising-platform rules.
12. Use of this website
Please use this website lawfully. Do not attempt to gain unauthorised access, disrupt its operation, introduce malicious code, or submit false information through our forms.
13. Consent to be contacted
By submitting your details, you agree that we may contact you by phone, email and WhatsApp about your enquiry and our services. You can opt out at any time as explained in our Privacy Policy.
14. Suspension and termination
We may suspend or end our services if you breach these Terms or your Engagement, use our services unlawfully, or do not pay undisputed invoices after reasonable notice.
15. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute in good faith by discussion over email. If that fails, the courts at Mumbai, Maharashtra will have exclusive jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top shows the latest version, and continued use of the website or services means you accept the updated Terms.
